Terms of Service

Last updated June 30, 2026

Studio Calendar is actively developed and improved. Features may change and the Service may occasionally be unavailable. Please keep your own records of any bookings or business data that matter to you.

1. Agreement to these terms

These Terms of Service (the “Terms”) are a binding agreement between you and Michael Salisbury LLC, an Illinois limited liability company (“we,” “us,” or “our”) governing your access to and use of Studio Calendar and related websites, applications, and services (collectively, the “Service”). By creating an account, signing in, accepting an invitation, or otherwise using the Service, you agree to these Terms and to our Privacy Policy. If you do not agree, do not use the Service.

If you use the Service on behalf of an organization, you represent that you are authorized to bind that organization to these Terms, and “you” refers to that organization.

2. The Service and plans

Studio Calendar is a calendar and member-management tool for shared studios and similar spaces. It lets a space owner invite members, set booking policies, and manage a shared booking calendar.

The Service is offered on two plans. The Free plan is available at no charge and includes one space, up to three members per space, and one resource per space. The Studio plan costs USD $6.99 per month and raises those limits (up to three spaces and ten members per space, multiple resources) and unlocks additional features including AI-agent access, calendar import, and calendar subscriptions. A paid subscription is held by the account owner and covers all spaces that owner manages; invited members are never charged. Subscription terms are set out in the “Subscriptions and payment” section below.

3. Subscriptions and payment

The Studio plan is a subscription billed USD $6.99 per month in advance. It renews automatically each month until you cancel. By starting a subscription you authorize us and our payment processor to charge your payment method for each renewal until cancellation.

Payments are processed by Stripe. You enter your card and billing details on Stripe’s hosted checkout and manage your subscription through Stripe’s customer portal. We do not receive or store your full card number or other payment-card details.

Cancellation. You may cancel at any time through the billing portal. Your Studio access continues until the end of the then-current paid month, after which your account reverts to the Free plan.

Your data is kept when you downgrade. Cancelling or downgrading does not delete your data. Free-plan limits simply re-apply — you will not be able to exceed them, but your existing spaces, bookings, and records are retained.

Failed payments. If a renewal charge fails, we may keep your Studio access during our payment processor’s retry period; if payment is not completed, your account reverts to the Free plan.

Refunds. Payments are non-refundable except where required by law. Cancelling stops future renewals; the current billing month is not refunded.

Price changes. We may change subscription pricing. We will give you advance notice, and changes apply to renewals after the notice takes effect.

Taxes. Prices are exclusive of applicable taxes. Any sales tax or similar tax is calculated and added at checkout based on your location.

4. Accounts and eligibility

Access uses email-based sign-in links (“magic links”) and one-time codes rather than passwords. You are responsible for maintaining control of the email account associated with your Studio Calendar account, and for all activity that occurs under your account. Notify us promptly if you believe your account or email has been compromised.

You must be at least the age of majority in your jurisdiction, and legally able to enter into these Terms, to use the Service.

5. Acceptable use

You agree not to:

  • use the Service in violation of any applicable law or regulation;
  • attempt to gain unauthorized access to the Service, other accounts, or its underlying systems;
  • probe, scan, or test the vulnerability of the Service except as expressly permitted by our security policy;
  • interfere with or disrupt the integrity or performance of the Service, including by overloading or scraping it;
  • upload or transmit unlawful, infringing, or malicious content; or
  • misrepresent your identity or your authority to act for a space or organization.

We may suspend or terminate access that we reasonably believe violates these Terms or risks harm to the Service or other users.

6. Your content

You retain ownership of the content you submit to the Service, such as space details, bookings, notes, and member information (“Your Content”). You grant us a limited license to host, process, and display Your Content solely to operate and provide the Service to you and the members of your space.

You are responsible for Your Content and for having the necessary rights and permissions to submit it, including any personal information about members or guests you add to a space.

7. Bookings are not guarantees

The Service helps coordinate access to a space, but it does not guarantee the availability, suitability, or condition of any space, nor that any booking will be honored. Arrangements between space owners, members, and guests are solely between those parties. We are not a party to, and are not responsible for, those arrangements or any disputes arising from them.

8. Development status; no warranties

The Service is provided “as is” and “as available,” without warranties of any kind, whether express, implied, or statutory. To the fullest extent permitted by law, we disclaim all warranties, including any implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement, and any warranty that the Service will be uninterrupted, timely, secure, error-free, or that data will not be lost.

Because the Service is under active development, features may change, be removed, or behave unexpectedly, and the Service may be unavailable at times. You are responsible for keeping your own independent records of any information that matters to you.

9. Limitation of liability

To the fullest extent permitted by law, in no event will Michael Salisbury LLC, an Illinois limited liability company or its operators be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, data, goodwill, or business interruption, arising out of or relating to your use of (or inability to use) the Service, even if advised of the possibility of such damages.

To the fullest extent permitted by law, our total aggregate liability for all claims relating to the Service will not exceed the greater of (a) the total amount you paid us for the Service in the twelve months before the event giving rise to the claim, or (b) one hundred U.S. dollars (USD $100).

Some jurisdictions do not allow certain warranty disclaimers or liability limitations, so some of the above may not apply to you. In that case, our liability is limited to the smallest extent permitted by applicable law.

10. Indemnification

You agree to indemnify and hold harmless Michael Salisbury LLC, an Illinois limited liability company and its operators from any claims, damages, liabilities, and expenses (including reasonable legal fees) arising out of your use of the Service, Your Content, or your violation of these Terms or applicable law.

11. Termination

You may stop using the Service at any time. We may suspend or terminate access at any time, with or without notice, including if we discontinue the Service. Sections that by their nature should survive termination (including content ownership, disclaimers, limitation of liability, and indemnification) will survive.

12. Changes to these terms

We may update these Terms from time to time. When we do, we will revise the “last updated” date above and, for material changes, take reasonable steps to notify you. Your continued use of the Service after changes take effect constitutes acceptance of the updated Terms.

13. Governing law

These Terms are governed by the laws of the State of Illinois, without regard to its conflict-of-laws rules, and any disputes will be resolved in the state or federal courts located in Cook County, Illinois, except where applicable law requires otherwise.
